1. Agreement, Eligibility, and Scope of Services

1.1 Who we are. These Terms of Service (“Terms”) are a binding contract between you and Restday Home Cleaning LLC, a Texas limited liability company registered to do business in Ohio (“Restday,” “we,” “us,” or “our”).

1.2 How you accept these Terms. You accept these Terms when you do any of the following: check the acceptance box when booking; book by website, phone, text, or email; confirm a quote; pay any amount; or give us access to a Property to perform Services. If you book by phone or text, we will send you a link to these Terms with your confirmation, and letting us perform the Services confirms your acceptance. If you do not agree, do not book or use our Services.

1.3 Who may book. You must be at least 18 years old and legally authorized to approve Services at the Property and give us access to it (for example, as owner, tenant with permission, property manager, or authorized agent). If you book for someone else, such as a family member, tenant, or rental guest, you represent that you have their authority, you are responsible for payment, and you are responsible for making sure everyone at the Property follows these Terms.

1.4 Definitions.

  • “Services” means the cleaning services and add-ons listed in your Booking Confirmation.
  • “Property” means the home, unit, or other location where Services are performed.
  • “Service Professional” means any cleaner, employee, contractor, or other person we send to perform Services.
  • “Booking Confirmation” means the written confirmation (email, text, or client portal) showing your service type, date, Arrival Window, add-ons, and price.
  • “Booking Price” means the total price shown in your Booking Confirmation, before tips and any fees under these Terms.
  • “Arrival Window” means the time range in which your Service Professional is scheduled to arrive.
  • “Card on File” means the payment method you provide to us or our payment processor.
  • “Recurring Service” means Services scheduled on a repeating weekly, every-other-week, or monthly basis.

1.5 What makes up our agreement. Our agreement consists of these Terms, your Booking Confirmation, our Privacy Policy, and any written addendum we both sign. If they conflict, a signed addendum controls first, then the Booking Confirmation, then these Terms. Service Professionals cannot change these Terms, approve price changes, or make promises on our behalf.

1.6 Flat-rate, task-based service. Our prices are flat rates based on the information you give us, such as bedrooms, bathrooms, square footage, condition, pets, and service type. We do not bill by the hour, and the number of Service Professionals and time spent on-site may vary. We complete the tasks marked as included for your service level in our cleaning checklist, What’s Included in Your Clean, plus any add-ons in your Booking Confirmation. For post-construction and commercial cleaning, the tasks are those in your written quote or scope of work. Anything not in that checklist, quote, or Booking Confirmation is not included.

1.7 What we do not promise. We clean to a professional standard, but some conditions cannot be fully reversed by cleaning. These include permanent stains, etching, hard-water deposits, rust, scratches, discoloration of grout or caulk, odors, and wear. Words such as “spotless” in our marketing describe our goal; your remedy if you are not satisfied is our Satisfaction Guarantee in Section 5.

1.8 Move-in and move-out cleaning. The Property must be empty of furniture and belongings unless we agree otherwise in writing, with working electricity, water, and hot water. We clean around anything left behind. We do not guarantee the return of any security deposit or the outcome of any landlord, buyer, or inspection walkthrough.

1.9 Short-term rental (Airbnb, VRBO) turnovers. If you book turnover Services:

  • You must give us accurate check-out and check-in times. If guests have not left when we arrive, we will wait up to 15 minutes. After that, we will return later that day if our schedule allows, for a $50 return-trip fee; if we cannot return, the visit is treated as a Lockout under Section 3.5.
  • You must keep all linens, towels, toiletries, and restocking items at the Property; we place them but do not buy them. Please keep at least 2 full sets of linens and towels per bed and bathroom so we can make beds while used sets are washed. We are not responsible for shortages of items you did not supply.
  • We will report obvious guest damage, missing items, or excessive mess we notice, but we are not inspectors. We do not guarantee we will find every issue, and we are not responsible for guest damage, guest theft, or your claims against guests or the platform.
  • Items guests leave behind stay where we found them, or in a spot you designate. We will photograph and report items we notice, but we do not store, ship, or return them, and we are not responsible for them.
  • Excessive guest mess (for example, party cleanup, heavy trash, or stains) may be billed under Section 2.3.
  • If the next guest arrives early or enters during our cleaning, our work for that visit ends and the full Booking Price is due.
  • We are not liable for lost bookings, refunds to guests, platform penalties, or lost rental income for any reason.

1.10 Team assignment. For Recurring Service, we try to send the same Service Professional, but we may assign a different or additional Service Professional at any time due to illness, availability, scheduling, or quality.

1.11 Laundry. Laundry is done only at the Property, using your machines and detergent; we never take laundry off-site. We follow care labels and will not wash items that are dry-clean-only, hand-wash-only, unlabeled, heavily soiled with bodily fluids, or weighted, unless you give written instructions. Please pre-sort loads and set aside anything we should skip. We are not responsible for shrinkage, color bleeding, fading, pilling, damage from items left in pockets, machine malfunctions, or normal wear. The number of loads is limited to what you booked, and if a cycle cannot finish before we leave, we will leave items in the machine or hanging to dry.

1.12 Dishes. We load the dishwasher or hand-wash dishes as booked. We follow “dishwasher safe” markings and will hand-wash or skip items without them. Fine china, crystal, antiques, and heirlooms are handled only if you disclose them under Section 4.9, and we are not responsible for glassware or dishes that break during normal, careful handling.

1.13 Inside the fridge and oven. We remove, clean around, and return items in the fridge, but we discard food only if you tell us in writing what to throw away. We do not defrost freezers unless arranged. Ovens must be turned off and cool when we arrive; we do not run self-cleaning cycles. Heavy carbon buildup may not fully come off, and we are not responsible for coatings, enamel, or parts that were already worn or damaged.

1.14 Interior windows. Interior windows include the inside glass and sills we can reach from the floor or a two-step stool. Tracks, frames, and blinds are included only as shown in our checklist for your service level or in your Booking Confirmation; screens are not included. We do not remove storm windows or screens, and we are not responsible for scratches, failed seals (fogging between panes), hard-water etching, or streaks caused by condensation or weather.

1.15 Post-construction cleaning. We quote post-construction cleans only after you send current photos of every room and a description of the work done; if conditions on-site differ, Section 2.3 applies. All construction work must be finished, and all tools, materials, and large debris removed, before we arrive; we do not haul debris. Fine dust can keep settling from vents and surfaces for days afterward, and dust that resettles is not covered by Section 5. We do not remove paint, caulk, adhesive, grout haze, mortar, or sealant. If you ask us to scrape glass with a razor blade, you accept the risk of scratching, especially on tempered or coated glass.

1.16 Apartments and managed buildings. You are responsible for arranging building access, front desk or doorman approval, elevator use, and guest parking passes. Building fees we must pay are added to your bill. If building staff refuse us entry, the visit is a Lockout under Section 3.5.

2. Booking, Pricing, and Payment

2.1 Booking confirmation. Submitting a booking is a request. Your appointment is confirmed only when we send a Booking Confirmation. If the date or time you requested is unavailable, we will contact you to offer another slot, and you may decline without charge.

2.2 Accurate information. You agree that everything you tell us about the Property is accurate, including size, number of rooms, condition, pets, clutter, and when it was last professionally cleaned. Our price depends on it.

2.3 On-site price adjustments. If the Property is larger than booked, or its condition requires significantly more work than described (for example, heavy buildup, heavy pet hair, clutter, post-party or post-construction mess), the Service Professional or our office will contact you by call or text before doing the extra work when reasonably possible. You may then choose to:

  1. approve an adjusted price based on our current rates;
  2. keep the original Booking Price, in which case we will clean in priority order (kitchen, bathrooms, then other areas) for the time the original booking allows, and areas not completed are not covered by our Satisfaction Guarantee; or
  3. cancel, in which case the Same-Day Cancellation Fee in Section 3.4 applies.

If we cannot reach you within 15 minutes, we will proceed with option 2. We will never charge an adjusted price you did not approve, except for add-ons you requested on-site.

2.4 First-time and lapsed clients. If the Property has not been professionally cleaned in the last 30 days, or your Recurring Service has lapsed for more than 45 days, we may require a deep clean as your first or next visit before standard pricing applies. Before-photos are required to quote post-construction cleans (Section 1.15) and for the guarantee on deep and move-in/out cleans (Section 5.8).

2.5 Card on File. A valid credit or debit card is required to book. You authorize us and our payment processor to charge your Card on File for: Services and add-ons; approved price adjustments; fees under these Terms; tips you choose to add; and any balance you owe. We may place a temporary authorization hold of up to the Booking Price up to 2 days before your appointment. We charge your Card on File on the day Services are completed, or on the day a fee is incurred. For Recurring Service, you authorize us to charge your card after each visit until you cancel. If your Card on File is a debit card, you agree we will notify you before a recurring charge only when it is more than your recurring Booking Price plus any add-ons, adjustments, or fees you approved or were told about; your Booking Confirmation is your copy of this authorization.

2.6 Prices and taxes. Prices are in U.S. dollars. Applicable sales taxes, if any, are added to your total. We may change prices for future bookings at any time; for Recurring Service, we will give you at least 30 days’ written notice of a price increase, and you may cancel before it takes effect without any fee.

2.7 Recurring discounts. Recurring discounts depend on keeping your booked frequency. If skipped or cancelled visits mean your actual frequency is lower than booked (for example, every-other-week service that has become monthly), we may re-rate your service to the frequency you are actually keeping. We will notify you before your next visit.

2.8 Promotions and discounts. Unless stated otherwise, promotions are limited to one per household, apply only to new clients, cannot be combined, have no cash value, and cannot be transferred. If a promotion is used in violation of these limits, for example by booking under a new name or email at the same household, we may charge the discount amount to your Card on File. If a promotion requires a commitment to Recurring Service (for example, a discounted first deep clean), you must complete at least 3 Recurring Service visits after the discounted visit, unless the promotion states otherwise. If you cancel before then, you authorize us to charge your Card on File the difference between the promotional price and our regular price. We will notify you before charging.

2.9 Pricing errors. If a quote or Booking Confirmation contains an obvious error (for example, a wrong number of bedrooms or a system glitch), we will contact you before the appointment to correct it. You may then cancel without any fee.

2.10 Failed and late payments. If a charge is declined, we will notify you, and you must provide a valid payment method within 48 hours. If you do not, we may suspend future appointments. Balances unpaid for more than 7 days after notice incur a late fee of $25 and interest at 7% per year (or the highest rate allowed by applicable law, if lower). Returned or reversed payments incur a $25 fee. You are responsible for reasonable costs we incur to collect unpaid amounts, including collection agency fees and court costs, to the extent allowed by law.

2.11 Card disputes and chargebacks. If you have a billing concern, you agree to contact us first and give us 10 days to resolve it under Section 5 or Section 9.1. If you dispute a charge for Services that were performed without first contacting us, we will provide your card issuer with evidence such as your acceptance of these Terms, time-stamped arrival and completion records, photos, and our messages with you. If the dispute is decided in our favor, you agree to pay the original amount plus a $25 dispute-handling fee, and we may decline future bookings. Nothing in this section limits any right you have under federal law to dispute a charge with your card issuer.

2.12 Tips. Tips are optional and never expected. 100% of tips go to the Service Professionals who cleaned your Property.

2.13 Gift cards. Gift cards do not expire, carry no fees, can be used only for our Services, and cannot be redeemed for cash except where required by law.

3. Scheduling, Cancellations, Lockouts, and Access

3.1 Arrival Window. We schedule visits by Arrival Window, not exact time, and arriving at any point within the window is on time. Our Arrival Window is 2 hours. We do our best to honor specific time requests but cannot guarantee them.

3.2 Our delays. If we expect to arrive after your Arrival Window ends, we will notify you. If we arrive more than 60 minutes after the window ends, you may reschedule or cancel that visit without any fee.

3.3 How to cancel or reschedule. You must cancel or reschedule in writing by text to (567) 806-1450, by email to restdayhomecleaning@gmail.com, or through our online client portal. Phone calls and voicemails count only once we confirm them in writing. Notice is measured from the time we receive it to the start of your Arrival Window.

3.4 Cancellation fees. Because we reserve a Service Professional’s day for you, pay them for reserved time that is cancelled late, and usually cannot fill a late opening, the following fees apply:

Notice before Arrival Window starts Fee
48 hours or more No fee
Less than 48 hours but at least 24 hours 50% of the Booking Price (“Late Cancellation Fee”)
Less than 24 hours, same-day, or no-show 100% of the Booking Price (“Same-Day Cancellation Fee”)

These rules also apply to bookings made less than 48 hours ahead, except that you may cancel without a fee within 1 hour of booking if your appointment is more than 24 hours away. You agree these fees are a reasonable estimate of our lost revenue and costs, including what we pay our Service Professional for the reserved time, which are hard to calculate precisely, and are not a penalty.

3.5 Lockouts and refused entry. A “Lockout” happens if, through no fault of ours, we cannot start work within 15 minutes of arriving. Examples include: no one home to let us in; a missing key or broken lockbox; a wrong door, gate, garage, or alarm code; building staff refusing us entry; an occupant or guest refusing service; an unsecured aggressive pet; or a condition in Section 4.4 or 3.12. Before leaving, we will try to reach you by call and text, and we will record our arrival with a time-stamped photo. A Lockout is charged the Same-Day Cancellation Fee.

3.6 Hardship waiver. We may, at our discretion, waive a cancellation or Lockout fee once every 12 months for a documented emergency, such as a hospitalization or a death in the family.

3.7 Ending Recurring Service. There is no long-term contract unless you accepted a promotion with a commitment under Section 2.8. You may stop Recurring Service at any time by written notice at least 48 hours before your next visit. Fees and balances already owed remain due.

3.8 Our cancellations, weather, and events beyond our control. We may reschedule or cancel a visit without liability because of severe weather, a declared snow emergency in the county where the Property is located, unsafe roads, illness, vehicle breakdown, power or utility outages, public emergencies, or other events beyond our reasonable control. If we cancel for any reason, we will offer the earliest available replacement date and you owe nothing for the cancelled visit. Rescheduling or a refund of any prepaid amount is your only remedy; we are not responsible for any other loss caused by a delay or cancellation.

3.9 Holidays. We do not clean on New Year’s Day, Memorial Day, Independence Day, Labor Day, Thanksgiving, Christmas Eve, or Christmas Day. Recurring visits that fall on these days will be rescheduled.

3.10 Keys, codes, and lockboxes. You must give us a reliable way to enter, such as being home, a door or garage code, a lockbox, a smart lock, or a key. You must tell us right away when codes change. Keys we hold are labeled with a code, never with your name or address, and stored securely. We will return or destroy keys within 7 days after Recurring Service ends, as you choose. If we lose a key you gave us, our only responsibility is the reasonable cost of rekeying the affected locks, up to $200. We are not responsible for loss or damage if you leave a door unlocked, leave a key in an unsecured place, or ask us to leave a door unlocked. When Services end, we recommend changing door, garage, and lockbox codes; we are not responsible for any entry to the Property after Services end.

3.11 Alarms and security systems. You must turn off your alarm or give us accurate instructions. You are responsible for false-alarm fines and monitoring fees caused by missing or incorrect instructions.

3.12 Utilities and temperature. The Property must have working electricity, lights, running hot water, and an indoor temperature between 60°F and 85°F. If it does not, we may decline to start work, and the visit is treated as a Lockout.

3.13 Parking. You must make sure free, legal parking is available within 1 block of the Property. If it is not, any parking fees we pay will be added to your bill. Tickets or towing caused by parking instructions you gave us are your responsibility.

3.14 If you are home. You do not need to be home, but if you are, please let the Service Professional work without interruption. Time spent on extra requests or waiting for areas to be cleared may reduce what can be completed for the Booking Price.

4. Your Responsibilities, Safety, and Excluded Services

4.1 Safe workplace. You agree to provide a safe place to work. This includes working lights, stable floors and stairs, and no conditions that could reasonably injure a Service Professional.

4.2 Disclosing hazards. Before your appointment, you must tell us in writing about any known: mold; pest problems (including bed bugs, cockroaches, rodents, fleas, or lice); blood, bodily fluids, human or animal waste, or needles; asbestos or lead hazards; chemical contamination; hoarding conditions; or anything else that may affect health or safety.

4.3 Contagious illness. If anyone at the Property has a contagious illness (such as flu, COVID-19, norovirus, or strep) at the time of service or within the prior 48 hours, please tell us before we arrive and we will reschedule at no charge, once every 6 months. Additional illness cancellations follow Section 3.4 unless we waive the fee under Section 3.6.

4.4 Undisclosed hazards and infestations. If we find an undisclosed condition listed in Section 4.2, our Service Professional may leave immediately. The visit is treated as a Lockout. If our equipment, supplies, or vehicles must be treated or replaced because of a pest infestation at the Property, you agree to pay the reasonable cost.

4.5 Weapons and drugs. Firearms and other weapons must be locked away or out of sight. Illegal drugs and drug paraphernalia must not be visible. We may refuse or stop service if they are not.

4.6 Pets. You must tell us about all pets when booking. Pets that may be aggressive, anxious, or likely to escape must be crated or kept in a closed room we do not need to clean. We are not responsible for pets that escape through doors we must open to do our work, or for injury to pets, unless caused by our gross negligence. You are responsible for injuries your pets cause to Service Professionals. We do not clean pet waste, vomit, litter boxes, or cages; please clean up pet accidents before we arrive. Heavy pet hair may be billed under Section 2.3.

4.7 Children and vulnerable adults. Service Professionals do not supervise or care for anyone. A responsible adult must be present and in charge of any children, or any adult who needs supervision, who is at the Property during service.

4.8 Valuables. Before every visit, you must remove or lock away cash, jewelry, watches, firearms, prescription medications, important documents, collectibles, and irreplaceable items. We are not responsible for loss of or damage to valuables that were left unsecured. (See Section 6.6 for theft claims.)

4.9 Fragile items and special surfaces. You must tell us in writing before service about any item or surface that needs special care, including: natural stone, marble, or quartz; unsealed or oiled wood; specialty or antique finishes; artwork; heirlooms; antiques; electronics; and delicate fixtures. We cannot judge care needs by appearance alone. We assume all surfaces are properly sealed, installed, and can be cleaned with standard professional products. We may decline to clean any item we believe is too fragile or valuable.

4.10 Products, equipment, and sensitivities. We bring our own professional products and equipment. You must tell us in writing before service about any allergies, chemical or fragrance sensitivities, or health conditions of people or pets at the Property, and we will use products you approve or supply. We are not responsible for reactions to our standard products that you did not tell us about. If you ask us to use your products, equipment, or methods, you assume all risk of damage they cause, and we are not responsible for wear or damage to your equipment.

4.11 Physical limits. For safety, our Services do not include having a Service Professional:

  • lift or move anything heavier than 25 lbs, including furniture and appliances;
  • climb higher than a two-step stool or stand on furniture or counters;
  • clean anything they cannot reach safely from that height, except with an extension pole;
  • move furniture that holds electronics, glass, or breakables; or
  • work outside the home, on roofs, or on exterior windows.

If you want us to clean behind or under appliances or heavy furniture, please move them before we arrive. If you ask us to move something anyway, you assume all risk of damage to the item, floors, walls, and connections.

4.12 Clutter and trash. Floors and surfaces must be reasonably clear so we can clean them. We will straighten items but, unless you book our organizing add-on, do not organize, sort, or decide what to keep, and we clean around clutter we cannot safely move. We throw away only what is in trash cans or is clearly trash, and we take it only to the bins at the Property. Please put away anything you want kept, such as papers, receipts, or packaging; we are not responsible for discarding items a reasonable person would view as trash.

4.13 Cameras and recording. You may use security cameras, but you must tell us about any cameras inside the Property when booking. You may not record audio of Service Professionals’ conversations without their consent, or record them in a bathroom they are using. Service Professionals may decline to work in a Property with undisclosed cameras, which is treated as a Lockout.

4.14 Excluded services. Unless we agree otherwise in writing, we do not:

  • clean blood, bodily fluids, human or animal waste, vomit, or urine;
  • remove mold or do any remediation, restoration, fire, smoke, flood, or water-damage cleaning;
  • clean hoarding conditions or pest-infested areas;
  • handle needles, sharps, hazardous chemicals, or medical waste;
  • clean exterior windows, gutters, outdoor areas, or garages (unless booked);
  • shampoo or steam-clean carpets or upholstery, or remove stains;
  • wash walls (except the full wall wipe-down included in Super Deep and Move-In/Out cleans) or ceilings, or clean chandeliers;
  • pressure wash, paint, or remove construction debris;
  • do laundry, hand-wash dishes, or clean inside the oven, fridge, dishwasher, washer and dryer, or cabinets, unless booked as add-ons or included in your service level;
  • organize (unless booked as an add-on), pack, or haul items away; or
  • provide childcare, pet care, or errands.

4.15 Requests outside our scope. Please send any special requests to our office rather than the Service Professional. If you ask a Service Professional to do something excluded or outside your booking and they agree, we may bill it as an add-on, and you assume all risk of that work.

5. 24-Hour Satisfaction Guarantee

5.1 Our promise. If a task included in your booking was missed or not done to a professional standard, we will come back and re-clean those areas for free.

5.2 How to claim. You must contact us in writing (text, email, or client portal) within 24 hours after your Service ends. Your request must list each area of concern and include clear photos of each one. We can re-clean only the areas you list and support with photos.

5.3 Leave it as is. Please do not re-clean, use, or let others use the areas of concern before we inspect or re-clean them, if you reasonably can. Areas that have been re-soiled cannot be assessed.

5.4 Scheduling the re-clean. We will offer at least 2 time slots within 5 business days of your request. You must provide access at one of them. If you decline all offered times or a Lockout occurs, the guarantee for that visit is satisfied.

5.5 What the guarantee does not cover.

  • Tasks or add-ons not included in your booking.
  • Areas that were cluttered, blocked, or inaccessible, or that you asked us to skip.
  • Areas re-soiled after we left, including by people, pets, guests, or contractors.
  • Permanent conditions described in Section 1.7.
  • Areas not completed because you chose option 2 in Section 2.3.
  • Short-term rental turnovers after a guest has checked in.
  • Move-out cleans after keys have been returned to a landlord or a new occupant has moved in.
  • Requests made after the 24-hour deadline.

5.6 Refunds. A re-clean is your sole remedy under this guarantee. We do not give cash refunds for completed Services. If we cannot fix a covered issue after a re-clean, we may, at our discretion, offer a credit toward future Services of up to 50% of the price of the affected visit.

5.7 Account in good standing. The guarantee is available only if your account has no overdue balance.

5.8 Before-photos for deep and move-in/out cleans. For deep and move-in/out cleans, you must send current photos of every room to be cleaned at least 48 hours before your appointment. Photos must be taken within the past 7 days and show the Property’s actual condition; listing, staged, or older photos do not count. If you do not send them, the Satisfaction Guarantee does not apply to that clean.

6. Damage, Loss, Theft, and Limitation of Liability

6.1 Insurance and bond. We carry commercial general liability insurance and a janitorial service bond. They protect us; they do not make us responsible for losses these Terms exclude, and you are not an insured under them.

6.2 Reporting damage. You must report any damage you believe we caused in writing within 24 hours after your Service ends, with photos. Claims not reported within 24 hours are waived. Please walk through the Property, or have someone do so for you, soon after each Service.

6.3 Inspection. Please do not repair, replace, or throw away a damaged item before we have had a reasonable chance to inspect it, which we will do within 7 days of your report. If you do, we may deny the claim.

6.4 How we resolve valid claims. If we determine we caused the damage, we will choose to (a) repair the item using a repair provider we select, (b) replace it with an item of like kind and quality, or (c) pay you its actual cash value (its value at the time of damage, after depreciation, not the cost of a new item). We may also submit the claim to our insurer. Any payment is subject to Section 6.7.

6.5 What we are not responsible for.

  • Normal wear and tear, or damage that existed before our visit.
  • Items that were improperly installed, secured, or assembled, or were already loose, cracked, or fragile, such as shelves, blinds, towel bars, light fixtures, and wall hangings.
  • Items that break during normal, careful cleaning due to age, deterioration, or a hidden defect.
  • Surfaces or items needing special care that you did not tell us about under Section 4.9.
  • Any single item worth more than $500 that you did not identify to us in writing before the Service.
  • Damage from products, equipment, or methods you asked us to use, or items you asked us to move (Sections 4.10 and 4.11).
  • Unsecured valuables, cash, or jewelry (Section 4.8).
  • Appliance, plumbing, or electrical malfunctions not caused by our misuse.
  • Damage caused by pets, children, guests, or other people at the Property.

6.6 Theft claims. We take theft seriously and screen our Service Professionals. If you believe a Service Professional took something, you must (a) notify us in writing within 24 hours of the Service and (b) file a police report within 48 hours and send us a copy. We will investigate and cooperate fully with law enforcement. If the Service Professional is convicted of the theft or admits it, we will file a claim with our janitorial bond and pay you whatever the bond pays for your loss; Section 6.7 does not reduce that amount. If the bond denies the claim, we will pay the item’s actual cash value, subject to Section 6.7, less anything recovered. We are not responsible for items that were unsecured under Section 4.8.

6.7 Limit on our liability. To the fullest extent allowed by law, our total liability to you for all claims arising out of or related to any one appointment, whether in contract, negligence, or any other theory, will not exceed the lesser of (a) the actual cash value of the loss or (b) $500. For damage to an item you disclosed in writing under Section 4.9, we will also submit the claim to our liability insurer, and our liability above $500 is limited to whatever amount our insurer pays on that claim.

6.8 No indirect damages. To the fullest extent allowed by law, we are not liable for indirect, incidental, special, consequential, or punitive damages. These include lost rental income, lost bookings, guest refunds, platform penalties, lost security deposits, hotel or relocation costs, lost time, emotional distress, and lost profits.

6.9 Exceptions. Sections 6.7 and 6.8 do not limit our liability for bodily injury caused by our negligence, for Restday’s own gross negligence or willful misconduct, or for anything else that applicable law does not allow us to limit.

6.10 No other warranties. Except for the Satisfaction Guarantee in Section 5 and any warranty applicable law does not let us disclaim, we make no other warranties, express or implied, about our Services.

6.11 Wet floors and occupant safety. Floors and surfaces may be wet or slippery during and right after cleaning. You are responsible for keeping children, pets, and other occupants away from areas being cleaned.

6.12 Time limit for claims. Any claim or lawsuit about property damage, loss, billing, or the quality of our Services must be brought within 6 months after the Service it relates to, or it is permanently barred, unless a longer period is required by law. This time limit does not apply to claims for bodily injury.

6.13 Your insurance. You are responsible for insuring your Property and belongings. If your insurer pays you for a loss and then seeks to recover from us, these Terms, including Sections 6.2, 6.7, and 6.12, apply to its claim.

7. Our Team: Non-Solicitation, Conduct, and Right to Refuse Service

7.1 Our Service Professionals. Service Professionals are independent contractors engaged by Restday, not our employees. Your contract for Services is with Restday, and Restday is responsible to you for performing the Services as described in these Terms, subject to the limits in Sections 5 and 6. You are not the employer of any Service Professional. Please do not make private arrangements with them for payment, extra work, or schedule changes; contact us instead.

7.2 Non-solicitation. We invest heavily in recruiting, background-checking, and onboarding our team. While you use our Services and for 12 months after your last Service, you agree not to knowingly hire, pay, or engage any Service Professional we introduced to you to clean for you or for anyone you refer, whether directly, through another company, or through an app or platform. This applies even if the Service Professional approaches you or no longer works with us. If a Service Professional offers to work for you privately, please decline and let us know.

7.3 Placement fee. If you breach Section 7.2, you agree to pay a placement fee of $2,500 per Service Professional. You agree this fee is a reasonable estimate of our costs to recruit, screen, onboard, and replace that person and our lost future revenue, which are hard to calculate precisely, and is not a penalty. We may also end Services immediately without refund.

7.4 Respectful conduct. Our team has the right to a safe, respectful workplace. We have zero tolerance for harassment, discrimination, sexual comments or advances, nudity, threats, intimidation, verbal abuse, or physical contact by anyone at the Property. Service Professionals will not work while anyone at the Property is visibly intoxicated in a way that threatens their safety.

7.5 If conduct rules are broken. If anyone at the Property breaks Section 7.4, our Service Professional may leave immediately. The full Booking Price is charged, we may end all future Services, and we may report the conduct to law enforcement.

7.6 Our right to refuse or stop service. We or our Service Professional may decline to start, or stop, any Service if:

  • the Property is unsafe or unsanitary, or has a condition in Section 4.2 you did not disclose;
  • the Property or its condition is materially different from what you described;
  • anyone at the Property breaks Section 7.4, or an unsecured pet threatens our team;
  • we lack access, utilities, or a safe working environment; or
  • continuing would reasonably put the health, safety, or dignity of a Service Professional at risk.

In these cases the visit is treated as a Lockout, and we have no liability for unfinished work.

7.7 Ending our relationship. We may decline future bookings or end Recurring Service at any time for any lawful reason. If we end Recurring Service for reasons other than your breach, we will refund any amount prepaid for visits not yet performed. We never refuse service on the basis of race, color, religion, sex, sexual orientation, gender identity, national origin, ancestry, disability, age, military status, or any other status protected by law.

7.8 New accounts. If we have ended Services with you, you may not book again under a different name, email, phone number, or card. If you do, we may cancel those bookings, and fees under Section 3.4 will apply.

8. Photos, Communications, Privacy, Reviews, and Website Use

8.1 Service photos. You agree that Service Professionals may take before-and-after photos or short videos of areas they clean, and time-stamped photos on arrival and departure. We use them only for quality control, training, and resolving guarantee, damage, payment, and Lockout disputes. We will not photograph people, mail, documents, screens, or valuables on purpose.

8.2 Marketing photos. We will use photos of your Property in marketing only with your separate written permission, and never with your address, house number, or anything that identifies you.

8.3 Service messages. By giving us your phone number and email, you agree we may contact you by call, text, and email about your bookings, including confirmations, reminders, arrival notices, on-site questions, receipts, and account notices. These messages may be sent using automated technology.

8.4 Marketing texts. We will send marketing or promotional texts only if you separately opt in, and opting in is never required to book. Message frequency varies, and message and data rates may apply. Reply STOP to opt out or HELP for help at any time. Carriers are not liable for delayed or undelivered messages.

8.5 Call recording. Calls with our office may be recorded for quality and training. We will tell you at the start of a recorded call.

8.6 Privacy. Our Privacy Policy explains how we collect and use your information and is part of these Terms. We do not sell your personal information. We share it only with service providers who help us run the business, such as our booking software and payment processor, and only as needed. Card numbers are handled by our payment processor; we do not store full card numbers. We keep door codes, alarm codes, and access instructions confidential, share them only with assigned Service Professionals, and delete them within 30 days after Recurring Service ends.

8.7 Reviews. You are free to post honest reviews of our Services anywhere, and nothing in these Terms limits that right. If something went wrong, we ask that you contact us first so we can try to fix it. We may respond publicly to reviews without disclosing private details about you.

8.8 Feedback. If you send us suggestions or ideas, we may use them without any obligation to you.

8.9 Website use. Our website, booking tools, logo, and content belong to us. You may use them only to learn about and book our Services. You may not misuse the website, including by submitting false bookings, scraping it, uploading malicious code, or interfering with its operation. Quotes and information on our website may contain errors, which we may correct (Section 2.9). Links to third-party sites or tools are provided for convenience; we are not responsible for them. The website is provided “as is,” and we do not guarantee it will always be available or error-free.

9. Dispute Resolution and General Terms

9.1 Talk to us first. Before starting any legal claim, the party with the complaint must send the other a written notice describing the problem and the outcome wanted. We both agree to try in good faith to resolve it within 30 days. Send notices to us at restdayhomecleaning@gmail.com; we will send notices to the email on your account.

9.2 Small claims court. Either of us may bring an individual claim in small claims court in the county where the Property is located, as long as the claim fits within that court’s limits.

9.3 Courts and venue. Any dispute not brought in small claims court must be brought in the state or federal courts serving the county where the Property is located, and you and we consent to those courts’ jurisdiction.

9.4 Governing law. These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-law rules.

9.5 Jury waiver. To the extent allowed by law, you and we each waive the right to a jury trial in any dispute about these Terms or our Services.

9.6 Your consumer rights. Nothing in these Terms takes away consumer protections that cannot be waived under the law of the state where the Property is located. If any provision conflicts with those protections, it applies only to the extent the law allows.

9.7 Court orders. Either party may ask a court to order a stop to an ongoing breach, such as a violation of Section 7.2 or a failure to return keys or property, without first completing Section 9.1.

9.8 Indemnification. You agree to defend, indemnify, and hold harmless Restday and its owners and agents from claims, losses, and reasonable legal fees arising from: (a) your breach of these Terms; (b) your failure to disclose hazards, secure pets or valuables, or provide a safe workplace; (c) inaccurate information you gave us; (d) claims by a Service Professional or anyone else for injury caused by conditions at the Property within your control or by your pets; (e) the conduct of anyone at the Property, including tenants and rental guests; or (f) any claim that you lacked authority to book Services or grant access to the Property.

9.9 Collection costs. If we must take action to collect an amount you owe, you agree to pay our reasonable costs of collection, including court costs and reasonable attorney’s fees, to the extent allowed by law.

9.10 Changes to these Terms. We may update these Terms by posting a new version on our website with a new “Last updated” date. For material changes, we will email or text Recurring Service clients at least 30 days before they take effect. Booking or receiving Services after the effective date means you accept the updated Terms. Changes do not apply to disputes that arose before the effective date.

9.11 Electronic agreement. You agree that your electronic acceptance, including checking a box or clicking a button, is your signature and has the same effect as a handwritten signature. You agree to receive notices and records electronically.

9.12 General.

  • Entire agreement. These Terms and the documents in Section 1.5 are our entire agreement and replace all prior versions, discussions, and promises, written or verbal.
  • Severability. If any part of these Terms is found unenforceable, it will be enforced to the maximum extent allowed and the rest will remain in effect.
  • No waiver. Our choice not to enforce a provision, or to waive a fee once, does not waive our right to enforce it later.
  • Assignment. You may not transfer these Terms without our written consent. We may transfer them to a successor business.
  • Survival. Sections 2, 3.4, 3.5, 6, 7.2, 7.3, 8, and 9 survive after Services end.
  • Third parties. Service Professionals may rely on Sections 6 and 7. No one else has rights under these Terms.
  • Interpretation. “Including” means “including without limitation.” Headings are for convenience only.

10. Additional Terms for Commercial Clients

10.1 Who this applies to. This Section applies if you book Services for a business, office, or other non-residential space, or under a written commercial service agreement (a “Commercial Client”). Short-term rental hosts and property managers booking residential units are not Commercial Clients unless we agree in writing; they pay by Card on File under Section 2.5. For Commercial Clients, this Section controls if it conflicts with any other part of these Terms.

10.2 Scope of work. Your scope of work, schedule, and price will be confirmed in writing before service starts. Changes to the scope must be agreed in writing and may change the price.

10.3 Invoices. We invoice after each visit or monthly, as stated in your agreement. Invoices are due within 15 days of the invoice date. If you dispute any part of an invoice, you must tell us in writing within 10 days of the invoice date and pay the undisputed portion on time; otherwise the invoice is accepted as correct.

10.4 Late payment. Overdue invoices incur a late fee of $25 and interest at 7% per year, or the highest rate allowed by applicable law if lower. If any invoice is more than 10 days past due, we may suspend Services after written notice until your account is current, and we may require prepayment or a card on file for future Services. We may also charge an overdue invoice to any card you have authorized after 7 days’ written notice.

10.5 Access and security. You must give us written access instructions, including alarm codes, key or fob procedures, after-hours entry rules, and any security requirements, and tell us promptly when they change. You are responsible for false-alarm fees and security charges caused by missing or incorrect instructions. We will return keys and fobs within 7 days after Services end.

10.6 Confidential materials and equipment. We do not read, move, or handle papers, files, or screens beyond what cleaning requires, and we do not empty shredding bins unless instructed. Please secure confidential documents, cash, and valuables. We clean only the outside surfaces of computers and electronics, and we are not responsible for data, equipment settings, or devices left on surfaces we clean.

10.7 Regulated waste. We do not handle medical, dental, or veterinary waste, sharps, biohazards, or regulated chemicals, and our Services are not designed to meet OSHA bloodborne pathogen or healthcare infection-control standards unless we agree in writing.

10.8 Ending commercial service. Either party may end ongoing commercial Services with 30 days’ written notice. All invoiced amounts and Services performed through the end date remain due.

10.9 Taxes. Any sales tax that applies to commercial cleaning services will be added to your invoices.

10.10 Disputes. For Commercial Clients, the prevailing party in any dispute may recover its reasonable attorney’s fees and costs. Section 7 (non-solicitation) applies to your company and its owners, managers, and employees.
